Terms of Service – Billing

The website and service located at erpextension.com and any associated subdomains or browser extensions (the “Site”) is a copyrighted work owned and operated by ERP EXTENSION LLC (“ERP Extension”, “Service Provider”, “Company”, “us”, “our”, or “we”). Access to certain features of the Service is available through paid subscriptions governed by this SaaS Billing Agreement.

This SaaS Billing Agreement (“Agreement”) is entered into between the Service Provider and the individual or entity purchasing a paid subscription (the “Customer”) as of the date of subscription (“Effective Date”). This Agreement incorporates by reference the Terms of Use, Privacy Policy, and Usage Policy.

1. Definitions

  • “Service” refers to the ERP Extension browser extension and related software services.
  • “Customer” refers to the purchaser of the subscription.
  • “Agreement Term” refers to the active duration of the Customer’s subscription.
  • “Confidential Information” refers to non-public data or materials marked as confidential or reasonably understood as such.

2. Service

ERP EXTENSION LLC will provide the subscribed services during the Agreement Term, using commercially reasonable efforts to maintain uptime except during planned maintenance. The Service will comply with applicable laws, including relevant data protection regulations. We reserve the right to modify or discontinue any part of the Service at any time without notice or liability.

3. Payment

All subscription fees are billed and processed via our payment processor (Stripe). Fees are due immediately upon subscription or renewal. Subscription terms are available on a monthly or annual basis. Service may be suspended for non-payment. All fees are non-refundable.

4. Automatic Renewal and Recurring Charges

Subscriptions auto-renew for the same term unless canceled before the current term ends. Fees may change upon renewal with notice. Stripe processes recurring payments automatically. Failed payments (e.g., expired cards) must be resolved within 48 hours. Subscription fees are indexed and may increase annually by EU CPI + 5%.

5. Customer’s Responsibility to Cancel

Cancellations must be done via the Stripe Billing Portal, accessible anytime through the ERP Extension browser extension under:

Click the browser extension icon, then click your profile image, and press the “Manage Subscription” button. On the Stripe portal page, enter the same email you used to sign up — you’ll receive a confirmation email in your inbox to access your billing settings.

We do not accept cancellations via email, phone, or any external methods. Only the Customer can cancel their subscription. By using the service, you accept responsibility for recurring charges until canceled through the Billing Portal.

6. No Refunds

All payments are final. No refunds or credits will be provided for partial months, unused data, or plan downgrades. By subscribing, the Customer waives the right to withdraw under the EU 14-day withdrawal rule or similar regulations, as service access is granted immediately upon payment. In cases of chargebacks or legally compelled refunds, ERP EXTENSION LLC reserves the right to terminate the account and delete all associated data.

7. Multiple Subscriptions and User Licenses

Customers may purchase multiple subscriptions or user licenses. These must be managed independently. All licenses are considered active upon purchase. Refunds or credits are not available for unused or allegedly unsatisfactory licenses.

8. Taxes

Prices exclude local taxes (e.g., VAT, sales tax). Customers are responsible for tax payments. If tax-exempt, documentation must be submitted prior to service provisioning. The EU VAT reverse charge mechanism is not supported; EU businesses will be charged VAT and must recover it through their local tax authorities.

9. Intellectual Property

ERP EXTENSION LLC retains all rights, title, and interest in and to the Service, including all associated intellectual property. The Customer agrees not to reverse engineer, copy, or misuse the software in any way.

10. Confidentiality, Data Protection and Security

Both parties agree to uphold all applicable laws regarding data security. ERP EXTENSION LLC uses industry-standard security protocols and safeguards. The Customer must ensure only authorized users access the Service and is responsible for any unauthorized use.

11. Termination

Either party may terminate this Agreement in writing if the other party materially breaches and does not resolve the issue within 30 days.

12. Indemnification

The Customer agrees to indemnify and hold harmless ERP EXTENSION LLC, its affiliates, and staff from any liability resulting from the Customer’s use of the Service, violation of this Agreement, or breach of law.

13. Limitation of Liability

ERP EXTENSION LLC is not liable for indirect or consequential damages. Our total liability for all claims within any 12-month period is limited to the total fees paid by the Customer during that period.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or in connection with this Agreement shall be brought exclusively in the State or Federal Courts located in Wyoming.

15. Entire Agreement

This document, along with the Terms of Use, Privacy Policy, Usage Policy, and any related documents linked on erpextension.com, forms the complete agreement between the parties. It supersedes all previous versions and cannot be modified without a written agreement.
